TX3 Funding FZCO – Terms of Use

By creating an account, purchasing access to TX3 services, or using the website, you represent and warrant that you have read, understood, and agreed to be bound by these Terms of Use, our Privacy Policy, Refund Policy, and any other posted policies.

1. Acceptance of Terms

By creating an account, purchasing access to TX3 services, or using the website, you represent and warrant that you have read, understood, and agreed to be bound by these Terms of Use, our Privacy Policy, Refund Policy, and any other posted policies. You may be required to affirmatively indicate acceptance through a clickwrap, checkbox, or other electronic signature before using some TX3 services. If you do not agree, you must discontinue use. Continued access following the posting of updated Terms constitutes acceptance of those updates.

2. Regulatory Status & Disclaimers

TX3 Funding FZCO operates solely as a provider of simulated trading environments and evaluation programs for educational and training purposes. All trading within the platform is simulated using virtual funds. No live trades are executed, cleared, or settled on behalf of users, and no brokerage or discretionary trading services are provided. Participation does not constitute the purchase or sale of securities, swaps, futures, or other regulated financial instruments under U.S., UAE, or any international law. TX3 is not registered or licensed with the SEC, CFTC, FINRA, NFA, ESMA, DFSA, or any other regulator. CFTC Rule 4.41 Hypothetical Performance Disclosure: Hypothetical or simulated performance results have numerous inherent limitations. They are generally prepared with the benefit of hindsight, do not involve financial risk, and cannot perfectly account for market liquidity, slippage, transaction costs, psychological pressures, or order execution quality. There is no guarantee that any participant will achieve results comparable to those presented in hypothetical examples. No Advice or Fiduciary Duty: TX3 provides general educational information only. No material on the platform constitutes investment, legal, tax, or financial advice. TX3 does not owe a fiduciary duty to users.

3. Eligibility, Verification & Account Integrity

Users must be at least 18 years old, not residents of restricted jurisdictions, not listed on OFAC or other sanctions lists, and must successfully complete identity verification and AML screening. Users are responsible for maintaining the security of their login credentials and all account activity. You must immediately notify TX3 of unauthorized access or suspected compromise. Each person may hold only one account unless granted written consent. Providing false, incomplete, or misleading information is grounds for suspension, termination, forfeiture of fees, and permanent ban.

4. Professional Conduct & Community Standards

Users agree to engage respectfully with TX3 staff, contractors, and other users in all communication channels. Harassment, abuse, threats, hate speech, discriminatory remarks, or disruptive conduct may result in immediate suspension or permanent termination without refund. This includes but is not limited to behavior on support tickets, Discord servers, social media, or community forums managed by TX3.

5. Risk Disclosure

Trading, whether real or simulated, carries substantial risk. Leveraged trading magnifies both gains and losses. Losses may exceed the amount of the participation fee. Simulated results cannot reproduce the effects of liquidity shortages, commissions, slippage, margin calls, or emotional decision-making. Only risk capital, money you can afford to lose, should be allocated for participation. Past results are not indicative of future performance. Participation is not appropriate for every individual. Users should consider their financial situation, experience level, and tolerance for risk carefully before participating.

6. Intellectual Property & User-Generated Content

All website content, software, educational materials, scoring methodologies, logos, and trade names are the exclusive property of TX3 Funding or its licensors. Users are granted a limited, revocable, non-transferable license to access the platform for personal use. Copying, reproducing, reverse-engineering, creating derivative works, or publicly disclosing TX3's proprietary information is strictly prohibited. Users grant TX3 a perpetual, worldwide, royalty-free license to use, reproduce, and display any feedback, testimonials, suggestions, or user-generated content voluntarily submitted, including for marketing purposes.

7. Prohibited Conduct

Users agree not to operate multiple accounts without express written permission, share or sell account credentials, collude, copy-trade, use bots or automated scripts, hack, reverse-engineer, transmit malicious code, exploit latency or slippage, or disclose proprietary information. Violations may result in immediate termination, forfeiture of payouts, permanent bans, and legal action.

8. AML & Sanctions Compliance

TX3 maintains a robust, risk-based AML/CFT compliance program pursuant to UAE Federal Law No. 20 of 2018 and FATF standards. Users agree to cooperate with enhanced due diligence requests. TX3 may freeze accounts, delay payouts, or terminate access at its discretion if suspicious activity is detected.

9. Payment, Refunds & Payouts

All fees must be paid in full at the time of purchase and are non-refundable except as expressly permitted under TX3's Refund Policy or required by law. Access to the platform is considered delivered upon issuance of login credentials. TX3 may delay or deny payouts pending identity re-verification, compliance review, or investigation of prohibited conduct. Chargebacks or payment disputes may result in permanent account bans and collection actions.

10. Data Privacy & Cookies

Users consent to the collection, processing, and retention of personal data in accordance with TX3's Privacy Policy. TX3 uses cookies, session trackers, and analytics tools to improve functionality. Disabling cookies may impair platform performance.

11. Termination & Suspension

TX3 reserves the right to suspend or terminate accounts immediately for breach of these Terms, suspicion of fraud, abuse, harassment, or regulatory risk, or for compliance with law. Termination for breach results in forfeiture of fees and payouts. All obligations relating to indemnification, limitation of liability, and confidentiality survive termination.

12. Limitation of Liability

To the fullest extent permitted by law, TX3 disclaims liability for indirect, incidental, special, consequential, punitive, or exemplary damages including lost profits, data, goodwill, trading opportunities, or business interruption. TX3 is not responsible for service outages, internet failures, third-party integrations, or force majeure events. TX3's aggregate liability for any claim shall not exceed the total fees paid by the user in the twelve months preceding the claim. Certain jurisdictions do not allow such limitations; in those cases, liability is limited to the maximum extent permitted by law.

13. Indemnification

Users agree to defend, indemnify, and hold harmless TX3 Funding, its affiliates, officers, directors, employees, contractors, and agents from and against all claims, damages, losses, liabilities, costs, and expenses arising out of or related to use or misuse of the platform, breach of these Terms, or violation of law.

14. Modification of Terms

TX3 may update these Terms at any time by posting a revised version on the website. Users are responsible for reviewing updates. Continued use after posting constitutes acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Dubai, UAE, without regard to conflict-of-law principles. Disputes shall be resolved by binding arbitration administered by the Dubai International Arbitration Centre. For U.S.-based users, arbitration may be conducted under AAA rules in Miami, Florida. Users waive the right to jury trials and class actions.

16. General Provisions

TX3 is not liable for delays caused by events beyond its control, including cyberattacks, natural disasters, power failures, or regulatory action. Users may not assign rights or obligations without TX3's written consent. Failure to enforce any right does not constitute waiver of that right. These Terms, Privacy Policy, and Refund Policy represent the complete agreement. If any provision is invalid, the remaining provisions remain enforceable. TX3 may use anonymized performance data and testimonials for marketing unless the user opts out. All provisions relating to intellectual property, liability, indemnification, and dispute resolution survive termination. If a separate Customer Agreement has been executed, that agreement will control in the case of conflict.
